Welcome to the AANI Co-Pilot Tool (“Tool”), provided by Uncapt Pty Ltd (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the Tool. By accessing or using the Tool, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Tool.
- Description of the Tool
The AANI Co-Pilot Tool is designed to assist users in negotiating various agreements by providing suggestions, insights, and recommendations. The Tool leverages artificial intelligence to analyse negotiation scenarios and offer potential strategies.
- Eligibility
You must be at least 18 years old to use the Tool. By using the Tool, you represent and warrant that you meet this age requirement.
- Use of the Tool
a. We grant you a non-exclusive, non-transferable, limited license to use the Tool for your business negotiation purposes.
b. Restrictions: You agree not to:
• Use the Tool for any unlawful purpose or in violation of any applicable laws.
• Modify, reverse engineer, decompile, or disassemble the Tool.
• Distribute, sublicense, or transfer your access to the Tool.
• Use the Tool in any manner that could harm the Tool, its providers, or any other person.
- User Conduct
You agree to use the Tool responsibly and to comply with all applicable laws and regulations. You are solely responsible for any content or information you provide or generate through the Tool.
- Privacy
Your use of the Tool is subject to our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand our practices regarding your personal information.
- Paid Account Services
a. Subscription Plans: We offer various subscription plans for accessing premium features of the Tool (“Paid Services”). Details of the plans, including pricing and features, are available on our website.
b. Billing and Payment: By subscribing to a Paid Service, you agree to pay the subscription fees specified at the time of purchase. Payments will be billed on a recurring basis as per the selected plan (e.g., monthly, annually) and will be charged to the payment method you provide.
c. Free Trial: We may offer a free trial for certain Paid Services. If you do not cancel your subscription before the end of the trial period, you will be automatically charged for the applicable subscription fees.
d. Refunds: Subscription fees are non-refundable, except as required by law. If you cancel your subscription, you will retain access to the Paid Services until the end of the current billing period, but no refund will be issued for the remaining period.
e. Changes to Pricing and Services: We reserve the right to change our pricing and subscription plans at any time. We will notify you in advance of any material changes to your subscription plan or pricing.
- Intellectual Property
All rights, title, and interest in and to the Tool, including all related intellectual property rights, are and will remain the exclusive property of the Company and its licensors. You are granted no rights in or to the Tool other than the limited license granted under these Terms.
- Disclaimer of Warranties
The Tool is provided “as is” and “as available” without any warranties of any kind, either express or implied. We do not warrant that the Tool will be uninterrupted or error-free, nor do we make any warranties as to the results that may be obtained from the use of the Tool.
- Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
• Your use or inability to use the Tool.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from the Tool.
- Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the Tool.
- Termination
We may terminate or suspend your access to the Tool at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Tool will immediately cease.
- Governing Law
These Terms shall be governed and construed in accordance with the laws of New South Wales, Australia.
- Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.
